Terms of Service
1. About Us
The Service is operated by Studio505 AB, a Swedish limited company (aktiebolag) with its registered address at Jordabalksvägen, 226 57 Lund, Sweden (organisation number: 559578-9974).
2. Acceptance of Terms
By accessing or using UEFNMarketplace ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.
3. How the Marketplace Works (Our Role)
UEFNMarketplace lets independent creators list digital assets designed for use with Unreal Editor for Fortnite (UEFN), and lets buyers license those assets. To make that possible, creators grant us the right to market, distribute, and sublicense their assets, and we sell each asset to the buyer in our own name as the seller of record. We authorize the charge, set the general terms of sale, and control delivery of the asset, so your purchase contract for an asset is with UEFNMarketplace; we in turn account to the creator for their share of the price.
This mirrors how payment and tax actually work — you pay us, and we pay creators — and it is why any applicable sales tax or VAT on an asset purchase is charged, collected, and remitted by us rather than by individual creators. It does not make us the author of the assets: creators remain responsible for the content, originality, and rights in everything they submit (see Section 6), and nothing here transfers ownership of that content to us beyond the distribution and resale rights we need to operate the marketplace.
The Service also includes subscription plans, a commission marketplace for custom work, self-service advertising, and ancillary creative services (such as thumbnail generation). Commissioned custom work is different: it is a contract for services directly between the buyer and the creator, which we facilitate and hold funds in escrow for — we are not the seller of record for commissions, and each party is responsible for its own tax on that work.
4. User Accounts
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
5. Buyer Terms
As a buyer on UEFNMarketplace:
- You buy each asset from UEFNMarketplace as the seller of record (see Section 3), and you receive a license to use it according to its license terms
- Listed prices are exclusive of tax. Any applicable VAT is calculated from your location and added at checkout, where it is itemized separately; listings also show a VAT-inclusive estimate so you can see the total before you start
- You may not redistribute, resell, or share purchased assets unless explicitly permitted
- You are responsible for ensuring assets meet your technical requirements before purchase
- Refunds are handled per our Refund Policy
6. Seller Terms
As a seller on UEFNMarketplace:
- You must own or have rights to all content you sell
- You grant UEFNMarketplace a non-exclusive, worldwide, sublicensable right to market, distribute, and resell or sublicense your listed assets to buyers, so that we can act as the seller of record for those sales (see Section 3). You keep ownership of your content; this right lasts only while an asset is listed, and ends for future sales once you delist it.
- You agree to our tiered platform fee structure: 10% on the Free tier, 7% on Pro, 5% on Elite, and 0% on Max. See Pricing & Fees for full details.
- You are responsible for the quality and accuracy of your listings
- You must respond to buyer inquiries in a timely manner
- You agree to comply with all applicable laws and regulations
- Payouts require a minimum balance: $50 (Free), $25 (Pro), or $10 (Elite and Max). Payouts are processed through Stripe Connect.
7. Subscription Services
UEFNMarketplace offers optional paid subscription tiers for sellers (Pro at $14.99/mo, Elite at $29.99/mo, Max at $89/mo) and buyers (Buyer Plus at $4.99/mo). Annual billing is available at a discount equivalent to two months free.
- Subscriptions are billed in advance on a recurring basis (monthly or annually) through Stripe.
- Free trial: Buyer Plus includes a one-time 7-day free trial for first-time subscribers. A valid payment method is required to start the trial. Unless you cancel before the trial ends, the trial converts automatically into a paid subscription and your payment method is charged the then-current price. You can cancel during the trial at any time from your dashboard at no charge. The free trial is available once per person; creating additional accounts to obtain further trials is prohibited.
- You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period — no pro-rata refunds are issued for unused time on monthly plans.
- EU/EEA right of withdrawal: If you are a consumer in the EU/EEA, you have a statutory 14-day right of withdrawal from a paid subscription contract (Directive 2011/83/EU). By starting a subscription (or letting a free trial convert) you request that the service begins immediately. If you withdraw within 14 days of first being charged, contact contact@studio505.dev and we will refund the charge less a proportionate amount for the period during which you used the service, as permitted by law. See our Refund Policy for details.
- Annual subscriptions are non-refundable once the first billing cycle begins, except where required by applicable law.
- We reserve the right to change subscription pricing with 30 days' notice. Existing subscribers will be notified before any price change applies to their account.
- Benefits associated with a subscription (e.g., reduced fees, higher limits, analytics) are available only while the subscription is active and in good standing.
8. Free Asset Downloads
Users on the Free tier may download up to 7 free assets per day. This limit resets at midnight UTC. Users on any paid tier (Buyer Plus, Seller Pro, or Seller Elite) may download unlimited free assets.
Limit Evasion Prohibition. Any attempt to circumvent or evade the daily download limit is a material breach of these Terms and our Acceptable Use Policy. Prohibited evasion methods include, but are not limited to:
- Creating multiple accounts (including on different email addresses) to exceed the daily limit
- Using VPNs, proxies, or IP rotation to reset or bypass rate limits
- Clearing cookies, local storage, or browser data to circumvent tracking
- Using automated scripts, bots, or browser automation tools to bulk-download free assets
- Sharing, selling, or otherwise misusing another user's account to access additional downloads
Accounts found to be evading the download limit are subject to suspension or ban, with a statement of reasons as described in Section 23. We reserve the right to claw back any assets downloaded in violation of this section.
9. Commission Marketplace
The Service includes a commission marketplace where buyers can request custom work from sellers. Commission transactions are governed by the following terms:
- Escrow: All commission payments are held in escrow by the platform until the work is delivered and accepted by the buyer, or released according to the milestone schedule agreed upon by both parties.
- Milestones: Commissions may be structured with milestones. Escrow funds for each milestone are released upon buyer approval of that milestone.
- Platform Fee: The same tiered platform fee that applies to asset sales applies to commission earnings.
- Cancellation: Once escrow is funded, cancellation requires mutual agreement between buyer and seller. In the event of a dispute, the platform will mediate and make a final determination on fund release.
- Proposal Limits: Sellers may submit a limited number of commission proposals per month based on their tier (10 for Free, 25 for Pro, unlimited for Elite).
- Self-Commissioning: You may not create a commission request and accept your own proposal.
- Seller Opt-In: Sellers are not listed for commissions by default. A seller joins the commission board only by opting in, which requires an approved seller account, a connected payout account, acceptance of the commission rules in our Acceptable Use Policy, and a stated minimum budget. Sellers may pause or leave the board at any time; doing so stops new hires but does not release them from contracts already in progress.
- Minimum Budget & Capacity: Each seller sets the minimum total budget they will accept and, optionally, how many commissions they will run at once. Hires and proposals below that minimum are rejected, and a seller at capacity is hidden from the board until a slot frees up.
- Removal from the Board:We may remove a seller from the commission board temporarily or permanently where they breach these Terms or our Acceptable Use Policy. Removal blocks new hires and new bids only; obligations under existing contracts, and the seller's right to be paid for work already delivered and accepted, are unaffected.
10. Advertising & Promotions
Sellers may promote their assets through the platform's self-service advertising system. Advertised assets are clearly labelled as "Sponsored." Ad campaigns are funded from the seller's ad balance, which can be topped up via Stripe or transferred from seller earnings. All ad content must comply with our Seller Guidelines and Acceptable Use Policy.
11. Thumbnail Service
The platform provides an AI-powered thumbnail generation tool. Thumbnails generated through this tool may be used in your marketplace listings. You retain the right to use generated thumbnails, but the platform may use anonymised examples for service improvement purposes.
12. Discord Integration
You may optionally link your Discord account to your UEFNMarketplace profile. By linking your account, you consent to the exchange of your Discord user ID and username between UEFNMarketplace and Discord for the purposes of role synchronisation, notifications, and community features. You may unlink your Discord account at any time from your dashboard.
Linking a Discord account raises your free daily download allowance from 7 to 10 assets per day. The bonus is a courtesy tied to an active link — unlinking returns you to the standard free-tier allowance, and the allowance itself may change with notice.
One exception applies to unlinking: where your account is under a restriction whose stated condition is a linked Discord account (see section 12a), you cannot unlink until the restriction is lifted.
12a. Account Restrictions
In addition to suspension and termination, we may place a restriction on an account. A restricted account remains accessible: you can sign in, browse, buy, and download everything you already own. Paused are new claims and downloads, publishing or submitting assets, reviews, questions, forum posts, follows, and all commission activity.
We tell you the reason for the restriction and what lifts it — most commonly linking a Discord account so we can contact you directly. Depending on the case, linking either lifts the restriction automatically or places your account in a review queue. A restriction may also carry an expiry date. Notice is given in-product, by email, and by Discord message where linked, and you may appeal at any time (see our Acceptable Use Policy).
13. Prohibited Activities
You may not:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Upload malicious software or code
- Engage in fraudulent or deceptive practices
- Harass or abuse other users
- Attempt to circumvent our payment system
- Create multiple accounts to abuse free asset limits, promotions, or reviews
- Unlink, re-link, or create accounts to evade an account restriction
14. Intellectual Property
All content on UEFNMarketplace, including the platform itself, is protected by intellectual property laws. Users retain ownership of their original content but grant us a license to display and promote it on our platform.
15. Account Deletion
You may request deletion of your account at any time from your dashboard settings. Upon request, a 30-day grace period begins during which you may cancel the deletion and keep your account. After the grace period, we process the deletion: your personal data is erased or irreversibly anonymized. Records we are legally required to keep — in particular financial and transaction records — are retained in anonymized form, no longer linked to you (see our Privacy Policy for details, including the seven-year retention required by the Swedish Bookkeeping Act). Outstanding seller earnings will be paid out before deletion where possible.
16. Right of Withdrawal (EU/EEA Consumers)
Under EU Directive 2011/83/EU, consumers in the EU/EEA have a 14-day right of withdrawal from distance contracts. However, for digital content that is not supplied on a tangible medium, you acknowledge and agree that:
- By clicking "Complete Purchase" and beginning the download, you expressly consent to the immediate performance of the contract and acknowledge that you thereby lose your right of withdrawal.
- This waiver applies only after you have given explicit prior consent during checkout.
- If you have not yet downloaded the asset, you may exercise your right of withdrawal within 14 days by contacting contact@studio505.dev.
17. Limitation of Liability
The Service is provided on an "as available" basis. To the fullest extent permitted by law we exclude implied warranties in respect of the Service platform itself. However, nothing in these Terms limits or excludes any right or remedy that cannot be limited or excluded by law.
Consumers: if you use the Service as a consumer, your mandatory statutory rights are not affected by these Terms and take precedence over anything to the contrary here — including the conformity rights for digital content and digital services under the Swedish Consumer Sales Act (konsumentköplagen 2022:260) and the equivalent mandatory rules of your country of residence. The "as available" exclusion above does not apply to those statutory rights.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the total amount you paid us in the 12 months before the event giving rise to the claim, or (b) EUR 100, and we are not liable for indirect, incidental, or consequential damages. Nothing in this section limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law.
18. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of Sweden. Any dispute arising from these Terms shall be settled by the competent courts of Sweden, with Lund District Court (Lunds tingsrätt) as the court of first instance. This choice of law and forum applies to business (B2B) users.
Consumers: if you use the Service as a consumer, this choice of Swedish law does not deprive you of the protection of the mandatory consumer-protection rules of your country of habitual residence (Rome I Regulation (EC) 593/2008, Art. 6(2)). Nothing here affects your right, under Regulation (EU) 1215/2012 (Brussels I bis), Arts. 17–19, to bring proceedings against us either in Sweden or in the courts of your country of residence, and to be sued by us only in the courts of your country of residence.
19. Dispute Resolution
We encourage you to contact us first at contact@studio505.dev to resolve any dispute informally. EU/EEA consumers may also file a complaint with the Swedish National Board for Consumer Disputes (Allmänna reklamationsnämnden, ARN) at www.arn.se, or contact their local consumer protection authority through the European Consumer Centres Network (ECC-Net).
20. Changes to Terms
We may modify, update, or replace these Terms. When we do, we will post the revised Terms here with an updated "Last Updated" date, and for material changes we will take reasonable steps to notify registered users in advance (for example by email or an in-app notice). Changes do not apply retroactively to events that occurred before they took effect.
Business sellers: in accordance with Regulation (EU) 2019/1150 (P2B), Art. 3, we will give you at least 15 days' notice on a durable mediumbefore a change to these Terms takes effect, and a longer period where the change requires you to make technical adaptations. You may terminate your seller account at any time before the change takes effect. Changes to subscription pricing follow the 30-day advance notice described in Section 7.
Your continued use of the Service after a change has taken effect constitutes acceptance of the revised Terms. If you do not agree to a change, you must stop using the Service.
21. Electronic Communications & Marketing
By creating an account, you agree that we may contact you electronically. We send two kinds of email:
- Service & transactional email — account, security, purchase receipts, download links, commission and payout updates, and important notices about the Service (including material changes to these Terms or our policies). These are necessary to provide the Service and to comply with our legal obligations, so they are not marketing and you cannot opt out of them while you hold an account.
- Marketing email — promotional messages, product news, tips, and offers. We send these only where we have a lawful basis to do so (your consent, or, where permitted, our legitimate interest in updating existing users about similar services). You can withdraw consent at any time using the one-click unsubscribe link in every marketing email or at Dashboard → Settings → Email. Unsubscribing from marketing does not stop service or transactional email.
You may indicate your marketing preference when you register, and change it at any time in your account settings. How we process your data for these communications, and your rights over it, are described in our Privacy Policy.
22. Ranking, Featured Placement & Differentiated Treatment
This section is provided for transparency under Regulation (EU) 2019/1150 (P2B), Arts. 5 and 7.
Main ranking parameters. Where assets are listed or ranked (for example on the browse and search pages), the main parameters are relevance to the search or category, recency, and engagement signals such as views, downloads, sales, and ratings. Free and paid listings are ranked by the same organic parameters.
Paid influence on placement. Some placements are influenced by payment. In particular, the "Featured placement" benefit included in the Elite and Max seller plans can surface a seller's assets in featured slots ahead of the organic order, and sellers may promote assets through paid ad campaigns. Where a placement is paid or plan-influenced, it is a benefit of a paid plan or campaign and not solely a result of the organic parameters above.
Differentiated treatment of our own paying users.Paid seller plans receive benefits that free sellers do not — lower platform fees, faster asset review (48 hours on Pro, 24 hours on Elite, 12 hours on Max), lower payout thresholds ($50 Free / $25 Pro / $10 Elite & Max), featured placement, and higher feature limits. These differences are described on our Pricing page.
23. Content Moderation, Account Actions & Illegal-Content Notices
Moderation. We review submitted assets before they are published and may remove, restrict, or refuse content that breaches these Terms, our Acceptable Use Policy, or applicable law. Review is carried out by our team; automated tools may assist (for example rate-limiting and duplicate-account detection) but account-level penalties are decided by a human.
Statement of reasons. Where we remove or restrict your content, suspend or terminate your account, or suspend a payout, we will give you a statement of reasons (Regulation (EU) 2022/2065 (DSA), Art. 17) covering the facts relied on, the ground under these Terms or the law, whether automated means were used, and how to contest the decision. For business sellers, a suspension is accompanied by reasons on a durable medium, and we will give at least 30 days' notice before terminating a seller account entirely, except where a shorter period is justified by law, a repeated or serious breach, or a legal or regulatory obligation (P2B, Art. 4). References elsewhere in these Terms to action taken "without warning" are subject to this section.
Accrued earnings on account closure. If your account is closed or terminated, any legitimately accrued balance is paid out to you — including balances below the normal payout threshold — subject to identity and anti-fraud checks. We may withhold only earnings attributable to specific infringing, fraudulent, or otherwise unlawful sales, which may be refunded to the affected buyers. We do not forfeit a legitimate accrued balance as a penalty.
Reporting illegal content (notice and action). Anyone may notify us of content they consider illegal via our Report page or by emailing contact@studio505.dev. Please give the exact URL, explain why the content is illegal, and provide your contact details. We will confirm receipt, decide without undue delay, notify both the notifier and the affected user of our decision and its reasons, and explain how to appeal (DSA, Arts. 16–17).
